Terms of Service

1. Acceptance of Terms

By registering for, accessing, or using AI Model Comparator you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher), that you have the legal capacity to enter into a binding contract, and that you accept these Terms and our Privacy Policy in full. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

AI Model Comparator is a web-based platform that enables users to submit text prompts to multiple large-language-model ("LLM") providers simultaneously and to compare the resulting responses through quality scoring, consensus analysis, disagreement detection, cost tracking, and related analytical features. The Service acts as an intermediary; it does not itself operate the underlying AI models.

3. Accounts and Security

3.1 Registration

You must provide accurate, current, and complete information when creating an account and keep that information up to date. You may register via magic-link email authentication or a username/password combination. Each person may hold only one free-tier account.

3.2 Credentials

You are solely responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at the contact address in Section 17 if you suspect unauthorised access to your account. We will not be liable for any loss arising from your failure to safeguard your credentials.

3.3 Account Lockout

To protect against brute-force attacks, accounts are temporarily locked after a configurable number of consecutive failed login attempts. You will receive an email notification when a lockout occurs.

3.4 Termination by Us

We may suspend or permanently terminate your account, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive behaviour, or if continued access poses a risk to the Service or other users.

4. User-Provided API Keys and Third-Party AI Services

4.1 Your Responsibility

You may supply your own API keys for third-party LLM providers (including but not limited to OpenAI, Anthropic, Google, and xAI). You are solely responsible for: (a) obtaining and maintaining valid keys; (b) all charges, overages, and costs incurred through those keys; (c) compliance with each provider's terms of service, acceptable-use policies, and applicable law; and (d) keeping your keys confidential.

4.2 Storage and Encryption

API keys you store with us are encrypted at rest using industry-standard algorithms. Despite these measures, no storage system is perfectly secure, and we cannot guarantee absolute protection. You may delete your stored keys at any time from Settings.

4.3 System Keys

Where you use the Service's built-in system API keys (provided by us), usage is subject to the rate limits and quotas of your subscription tier. System keys may not be extracted, shared, or used outside the Service.

4.4 Third-Party Terms

Your prompts are transmitted to the AI providers you select. Each provider processes your data under its own privacy policy and terms. We are not responsible for the data-handling practices of third-party AI services.

5. Content and Data

5.1 Your Content

You retain all intellectual-property rights in the prompts, queries, and any other content you submit ("Your Content"). By submitting Your Content you grant us a worldwide, royalty-free, non-exclusive licence to process, store, and transmit Your Content solely to the extent necessary to operate and improve the Service.

5.2 Anonymised Research Use

We may use anonymised, aggregated, and de-identified versions of Your Content and the corresponding AI model responses for internal research, benchmarking, product development, and the publication of aggregate insights (for example, "Model X scored 15% higher on coding tasks than Model Y across 10,000 comparisons"). Before any such use, we apply technical measures to remove or obfuscate all personally identifiable information. We will never re-identify anonymised data or attribute it to you individually.

5.3 AI-Generated Responses

Responses produced by third-party AI models are provided "as is". They may be inaccurate, incomplete, biased, or outdated. You are solely responsible for evaluating and verifying any AI-generated content before relying on it for any purpose, including but not limited to medical, legal, financial, or safety-critical decisions.

5.4 Prohibited Content

You may not submit content that: (a) is unlawful, defamatory, obscene, or harassing; (b) infringes any third-party intellectual-property or privacy right; (c) contains malware, phishing material, or other malicious code; or (d) is designed to circumvent the safety filters of any AI model or to generate content that violates any provider's acceptable-use policy.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation;
• Attempt to gain unauthorised access to any part of the Service, its servers, or connected systems;
• Interfere with or disrupt the integrity or performance of the Service;
• Scrape, crawl, or use automated means to extract data from the Service without our prior written consent;
• Reverse-engineer, decompile, or attempt to derive source code from the Service;
• Resell, sublicense, or redistribute access to the Service without our written authorisation;
• Impersonate any person or entity or misrepresent your affiliation with any person or entity;
• Use the Service to train, fine-tune, or benchmark competing AI products without our written consent.

7. Subscriptions and Billing

7.1 Plans and Fees

The Service is offered under multiple subscription tiers (including a free Trial tier and paid Pro and Mega tiers). Paid subscriptions are billed in advance on a monthly or annual basis. Current pricing is displayed on the Billing page within the Service and may be updated with 30 days' notice.

7.2 Payment Processing

Payments are processed by Stripe, Inc., a PCI-DSS-compliant payment processor. We do not store your full card number or CVV. By providing payment details you authorise us to charge the applicable fees to your payment method on each billing date.

7.3 Auto-Renewal

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You may cancel at any time from the Billing page; cancellation takes effect at the end of the current paid period and you will retain access until then.

7.4 Refunds

All fees are non-refundable except where required by applicable consumer-protection law or at our sole discretion. If you believe you have been charged in error, contact us within 30 days of the charge.

7.5 Taxes

Prices are exclusive of applicable taxes. You are responsible for any sales, use, VAT, GST, or similar taxes arising from your use of the Service.

8. Intellectual Property

All software, design, text, graphics, logos, and other materials comprising the Service (excluding Your Content) are owned by or licensed to AI Model Comparator and are protected by copyright, trademark, trade-secret, and other intellectual-property laws. Nothing in these Terms transfers any ownership interest in our intellectual property to you. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or internal business purposes in accordance with these Terms.

9. Security and Data Protection

We maintain a written information-security programme that includes administrative, technical, and physical safeguards designed to protect Your Content and personal data against unauthorised access, disclosure, alteration, and destruction. Key measures include TLS encryption in transit, encryption of sensitive fields at rest, role-based access controls, regular vulnerability assessments, and automated account-lockout protection. In the event of a data breach that is likely to affect your rights or freedoms, we will notify you and relevant authorities as required by applicable law.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any AI-generated content.

11. Limitation of Liability

To the maximum extent permitted by applicable law, AI Model Comparator and its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the greater of (a) the total fees you paid to us in the twelve months preceding the claim or (b) USD $100.

12. Indemnification

You agree to indemnify, defend, and hold harmless AI Model Comparator and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgements, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party right, including any intellectual-property or privacy right.

13. Dispute Resolution and Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Before initiating any formal legal proceeding, you agree to contact us and attempt to resolve the dispute informally for at least 30 days. Any dispute that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in English. Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual-property rights or confidential information.

Class-Action Waiver. You and AI Model Comparator each waive any right to participate in a class-action lawsuit or class-wide arbitration.

14. Changes to These Terms

We may revise these Terms at any time. If we make material changes, we will notify you by email (to the address associated with your account) and/or by displaying a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and may cancel your subscription.

15. Severability and Waiver

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AI Model Comparator with respect to the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
